Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Actualog website, applications, APIs, and related services (collectively, the “Service”). They focus on how the Service operates (accounts, subscriptions, availability, acceptable use, security, and commercial terms).

Important:

  • User Agreement covers Expert Community participation and content contribution rules.
  • License Agreement covers software licensing, warranties, and licensing-specific limitations.
  • If you or your company has a separate written agreement with Actualog (e.g., an enterprise order form), that agreement may override parts of these Terms.

1. Who can use Actualog

Actualog is a B2B platform designed for professionals and organizations managing and exchanging product information (PIM/MDM, catalog management, procurement, sales enablement).

By using the Service, you confirm that:

  • you are legally able to enter into these Terms, and
  • if you use the Service on behalf of a company or other legal entity, you have authority to bind that entity.

2. Accounts and authentication

Creating an account

You can register using email/password or supported single sign-on providers (when available). Your account is personal to you, even if your email belongs to an organization.

Account security

You are responsible for:

  • keeping your credentials secure,
  • restricting access to your account and devices,
  • all activity performed under your account unless you promptly report unauthorized access.

Profile accuracy (professional network)

Actualog is built around trusted, reusable product data. You agree not to impersonate others or misrepresent your identity, organization affiliation, or professional role.


3. Company Workspace and organizational access

Actualog supports Company Workspaces where teams manage:

  • products and product data,
  • catalogs and publishing,
  • data assets (media/documents),
  • integrations and data exchange,
  • access control (users, invitations, permissions).

A user can belong to multiple Company Workspaces. Within each workspace, access is controlled via invitations and assigned permissions. Some actions (e.g., billing, integrations, publishing controls) may require elevated permissions.


4. Communities and public discovery

Actualog includes Communities that organize shared product domains and professional discovery.

Depending on your settings and the content you publish:

  • company, catalog, category, and product pages may be publicly visible,
  • content may be discoverable by search engines and other indexing technologies,
  • embedded pages (when enabled) can expose selected information on external sites.

You control publishing and visibility through workspace and entity-level settings (where available).


5. Subscriptions, trials, and purchasing

Plans and entitlements

The Service may offer multiple plans (including free and paid tiers). Plan limits can apply to:

  • number of products, catalogs, imports, and integrations,
  • collaboration features,
  • advanced governance, AI features, or support levels.

Billing owner

A Company Workspace may have one or more users authorized to manage subscription and billing. You must ensure your workspace billing data is accurate.

Purchasing channels

Actualog may support purchases through:

  • direct checkout (e.g., card payments),
  • marketplace purchasing (e.g., Microsoft marketplace),
  • invoices (where enabled).

If you purchase via a marketplace or payment provider, their terms may also apply to the transaction.

Taxes

Taxes may be applied based on billing country, VAT/GST rules, and other legal requirements.


6. Acceptable use and platform protection

You agree not to misuse the Service. Prohibited activities include:

  • attempting to access data you are not authorized to access,
  • disrupting or overloading the Service (e.g., abuse, automated scraping, denial-of-service patterns),
  • reverse engineering, bypassing technical limits, or security testing without written permission,
  • uploading malicious code or content intended to compromise users or systems,
  • using the Service for unlawful activities.

Data access must use supported mechanisms such as: official UI, export/import tools, embedding (when enabled), and APIs (when enabled).


7. Integrations, APIs, and automation

Actualog may provide APIs, connectors, import/export pipelines, and automation features.

You are responsible for:

  • securing API credentials and tokens,
  • limiting access to trusted systems and users,
  • ensuring that your integrations comply with these Terms and applicable laws,
  • the accuracy and legality of data you import.

We may apply rate limits or other technical controls to protect the platform.


8. AI-powered features

Actualog may offer AI-assisted capabilities (e.g., suggested enrichment, translation assistance, extraction from documents, quality checks).

AI outputs:

  • are provided to assist, not replace, professional judgment,
  • may require review and validation before use in regulated or safety-critical contexts,
  • may vary in quality depending on input data and domain complexity.

You remain responsible for the decisions you make and the data you publish.


9. Customer data, privacy, and cookies

Actualog processes user and company data to provide the Service. Details about:

  • what personal data we collect,
  • how we use it,
  • how long we retain it,
  • security practices and subprocessors,

are described in the Privacy Policy and Cookie Policy.


10. Service availability, changes, and support

Availability

We aim to keep the Service reliable, but occasional maintenance, upgrades, or incidents can occur.

Changes

We may update the Service, including adding/removing features, to improve security, usability, performance, or compliance. If changes materially impact paid functionality, we will use reasonable efforts to communicate them via in-app notices or release notes.

Support

Support channels and response expectations depend on your plan. Some plans may include priority or dedicated support options.


11. Suspension and termination

Suspension

We may suspend access to the Service (in whole or in part) if we reasonably believe:

  • there is a security risk,
  • there is suspected abuse or prohibited activity,
  • payment is overdue (for paid plans),
  • required legal compliance demands suspension.

We aim to scope suspensions to what is reasonably necessary and restore access once the issue is resolved.

Termination

You can stop using the Service at any time. Workspace administrators may be able to close or deactivate a workspace per product capabilities.

We may terminate accounts or workspaces for repeated or material violations of these Terms, the User Agreement, or applicable laws.


12. Intellectual property and content ownership

Actualog and its licensors retain all rights to the Service (software, UI, brand elements, and platform IP).

Your rights to content and the license you grant to Actualog depend on the type of content and context:

  • Expert Community contributions and classifier governance are covered by the User Agreement.
  • Company-owned product and catalog content is governed by workspace controls and your agreements, subject to the visibility and publishing settings you choose.

13. Disclaimers and limitation of liability

The Service is provided on an “as is” and “as available” basis, except as otherwise stated in a separate written agreement.

Warranty disclaimers, limitation of liability, and related legal terms are governed by the License Agreement and/or your separate enterprise agreement (if any). If there is no separate agreement, the default limitations stated in the License Agreement apply.


14. Changes to these Terms

We may update these Terms to reflect changes in the Service, legal requirements, or operational practices. The “Last updated” date will be revised accordingly. Continued use of the Service after updates means you accept the updated Terms.
